Corporate Governance Statement § 289f (4) HGB in conjunction with §36 and §52 GmbHG. §36 and §52 GmbHG:

A target of 0 percent was set for the proportion of women in the management of the German CPI Group (CPI GmbH and CPI books GmbH) within a period of 5 years defined as the implementation period, as the management is currently staffed with a male member and continuity in the staffing of the management is to be maintained throughout the implementation period.

The management of the CPI Group has decided that within a period of 5 years defined as an implementation period, the share of women in the first management level below the management should be at least 20 percent. The first management level below the Executive Board comprises the management of the CPI Group's sales, finance, human resources, IT and digital services divisions. As of March 31, 2022, 5 people belonged to the first management level, of which 20 percent of these positions were held by women. Here, too, priority is generally given to the continuity and professional suitability of the persons belonging to the management level. Should a change in personnel make it necessary to fill a new position, efforts will be made to keep the proportion of women in the first management level at least constant, provided there are similarly qualified applicants.
